The following definitions apply:
- Terms & Conditions: This document or web page.
- Website: www.latitudecareers.com and its registered international aliases such as www.latitudecareers.com.au
- Latitude Careers: The company that owns and operates the Website and provides the Services, trading in Australia under Latitude Careers Pty Ltd (ABN 33 645 514 861).
- Services: The purchased services set out in your invoice, unless varied by Latitude Careers as agreed between us in writing (including email). Each service is defined on the relevant Services page of the Website under the section labelled “What’s included”.
- Service Delivery: The provision of the Services to you using Latitude Careers‘ employees, contractors, and third party providers, together with any associated collateral resources.
- Service Fees: The payment amount for the Services set out in your invoice, unless varied by Latitude Careers as agreed between us in writing (including email).
You agree to and accept these Terms & Conditions by:
- continuing to browse and read the Website; or
- requesting an introductory call via the Website Contact page or via email; or
- completing a booking for one or more Services via the Website Bookings page or via email.
If you do not agree with these Terms & Conditions, you must cease using the Website or any of the Services, immediately.
Latitude Careers reserves the right to modify, add, or remove any part of these Terms & Conditions at any time by updating this page at its sole discretion. Any changes take immediate effect from the date of their publication on the Website. Where you have purchased Services for which Service Delivery is not yet complete, Latitude Careers will use reasonable endeavours to provide you with notice of these changes.
Service Fees are payable in full, in advance of Service Delivery. Latitude Careers reserves the right to refuse Service Delivery until due balances are paid.
You can pay the Service Fees:
- Using the Website Booking form by way of Stripe (which accepts major credit cards including Visa, MasterCard, and American Express); or
- Using payment per invoice (including direct bank transfer), in accordance with the terms of payment shown on the invoice.
Payments attract a small processing fee (typically 1-3%) from the payment services provider. This is covered by your Service Fees, but is not recoverable in any refund made to you.
You accept that where a request for the payment of the Service Fees is returned or denied by your financial institution or remains unpaid by you, for whatever reason, then you are liable for any costs including banking charges associated with the Service Fees.
Latitude Careers reserves the right to vary the scope and definition of Services and the Services Fees at any time. However, where you have purchased Services for which Service Delivery is not yet complete, Latitude Careers will preserve your Services definition and Service Fees agreed at the time of purchase, unless varied by written agreement (including email).
The Service Delivery process for the Services you purchase is outlined on the relevant Services page of the Website under the section labelled “How it works”. This will commonly require you to provide Latitude Careers with career information and documents (eg. resume / CV, job applications, career plans, exercise submissions, etc), in preparation for your coaching sessions. Latitude Careers will inform you of these necessary inputs and response dates in advance by email. In the event that your provision of documents is incomplete or late, you acknowledge and accept that Latitude Careers may require you to postpone your coaching session in order to deliver the Services to you in an effective manner. Latitude Careers is not liable for the results of Services performed on the basis of any inaccurate, incomplete or untruthful information that you provide.
The approximate turnaround time for certain Services is also indicated on the relevant Services page of the Website under the section labelled “How it works”. Though Latitude Careers will endeavour to complete Service Delivery within these timeframes providing your inputs are received on time and any required follow up coaching sessions can be scheduled with you in time, you acknowledge and accept that Latitude Careers reserves the right to make any necessary variations to these timings and processes to best meet your requirements within its available capacity.
You assume full responsibility for the acceptance of the Services provided, including the need for you to carry out any final proofreading and check on accuracy (eg. of your resume / CV, cover letter, or LinkedIn profile). Latitude Careers is not responsible for errors or omissions.
For certain Services, you may be asked to provide Latitude Careers with system login credentials (eg. to your LinkedIn Profile). You reserve the right to decline these requests and agree an alternative mechanism for Latitude Careers to complete the Service Delivery. Latitude Careers will take all reasonable efforts to safeguard any login credentials provided and also endeavour to ensure that the content sections identified for update and the characteristics of those proposed updates have been communicated to you and agreed with you in advance. However, Latitude Careers is not liable for any unwanted changes or other perceived issues arising from the changes, nor for any prejudice arising from a breach of service provider’s contract terms, incurred as a result of logging into systems using your credentials.
As part of Service Delivery, coaching sessions are delivered online by videoconference (eg. Zoom, Microsoft Teams). It is important that you allocate the necessary time, are prompt for the session and that the session is conducted in a private setting.
Latitude Careers is committed to the scheduled sessions. Postponement of a session will only be permissible in the event of illness or emergency affecting you or the career coach, by notifying the other party at the earliest opportunity, preferably at least 48 hours in advance.
In the event that you are late for your session, Latitude Careers may be unable to extend your session. Late requests by you for postponement of one or more sessions, or your non-appearance may result in you forfeiting the session or the Service and your Service Fees.
Latitude Careers will only allow cancellation of your Service Delivery with a refund of your Service Fees if for some unforeseen reason they are unable to continue to provide those Services to clients or if they make a decision, at their absolute discretion, that it is reasonable to do so under the circumstances. In this case, the refund may be calculated pro-rata based on the proportion of the Services still to be consumed.
The Website, the Services, and all of the associated collateral resources and materials of Latitude Careers are subject to copyright. All trademarks, service marks, trade names, logos, and branding are owned, registered and/or licensed by Latitude Careers, and use of them is strictly prohibited without express written consent from Latitude Careers. The content on the Website is protected by copyright under the laws of Australia and its international treaties. Unless otherwise indicated, Latitude Careers (and its suppliers) own or control and reserve all rights in the Services and Website (including but not limited to text, graphics, logos, multimedia files, documents, code, script, and design elements). These rights also extend to any forum posts or reviews made on or via the Website by you or any third parties.
You may not, without the prior written permission of Latitude Careers and any other relevant rights owners: broadcast, distribute, transmit, republish, post, up-load to a third party, show in public, adapt, decompile, or disassemble in any way the Services, with the exception of constituent elements that are already in the public domain, or related promotional articles and blogs that have been publicly shared by Latitude Careers. In this latter case you must preserve the integrity of the content and its attribution to Latitude Careers.
You must not use or replicate any of Latitude Careers’ copyright material other than as permitted by law. Specifically, you must not use or replicate it for commercial purposes unless expressly agreed in writing by Latitude Careers.
The obligations under this section (headed ) will survive termination of these Terms & Conditions.
The Website may contain links to external websites. These are provided for your convenience and are not an indication that Latitude Careers endorses the linked websites or any of their associated products or services. Latitude Careers accepts no liability for loss or damage arising out of your use of these external websites.
You may link from an external website to the homepage, promotional articles and blogs contained on the Website, but that link must not suggest any association, approval or endorsement on the part of Latitude Careers in respect to the external website, unless expressly agreed in writing. Latitude Careers reserves the right to withdraw its consent to you linking to the Website at any time by notice to you.
Any personal information you provide or that is collected and retained relating to your use of the Website and/or the Services is governed by Latitude Careers’ Privacy Policy, which can be consulted on the Website. By using the Website and the Services you agree to and accept this Privacy Policy.
Latitude Careers uses various electronic systems to communicate with you, including email, file sharing, and videoconferencing. While Latitude Careers takes reasonable measures to protect your personal information when using these systems, you acknowledge and accept that many of these systems do not guarantee end-to-end security, in consequence of which, data at rest on computer servers or in transit across the internet may be read or interfered with by third parties. In such an instance, Latitude Careers is not liable for any claims arising from unauthorised access or tampering with personal information after electronic transmission to or from Latitude Careers or the Website.
Latitude Careers undertakes to ensure that its Services are delivered to you by suitably skilled, trained, and qualified career coaching practitioners who may be employed or contracted.
Latitude Careers and its employees, contractors, and third party providers, undertake to communicate and collaborate with you in a professional, courteous, and respectful manner.
Latitude Careers undertakes to maintain complete confidentiality of the relationship with you and any information exchanged in the course of Service Delivery to you.
Strong collaboration is required from you with your assigned career coach for the effective delivery of the Services in order to achieve the quality results you expect. During the engagement you undertake to commit the necessary time and focus to your coaching sessions and complete any associated actions requested by your career coach fully, accurately, truthfully and promptly, such as providing documents, completing exercises, and implementing agreed career plans.
You undertake to collaborate with your assigned career coach in a courteous and respectful manner. Due to the online nature of the partnership, you acknowledge the importance of communication via videoconference, phone, and email, and agree to attend coaching sessions at the scheduled time and respond to written questions and requests in a timely manner.
You acknowledge and accept that you will need access to an internet connected device (eg. computer, tablet, or smartphone) equipped with a microphone and webcam in order to attend the online coaching sessions. You undertake to check in advance that the videoconferencing service link sent to you functions correctly with your local device configuration, including downloading any necessary application software. Latitude Careers does not provide you with IT equipment or technical support and is not liable for any costs that you may occur in accessing or using your device, or for any delays caused by technical issues relating to your device and configuration that you encounter when connecting to a session.
You warrant that throughout the period of Service Delivery:
- there are no legal restrictions preventing you from receiving the Services; and
- if you are under 18 years old, or over 18 years old and in the care of a parent or legal guardian, you warrant that your parent or legal guardian has consented to you receiving the Services, and agree that they will be present during the provision of the Services, including by videoconference, phone, or copied emails.
You will not canvass, solicit, entice away, or employ any employee or contractor who was employed by Latitude Careers during the Service Delivery period or the previous twelve months.
The Terms & Conditions will continue to apply until terminated either by you or by Latitude Careers as set out below.
If you wish to terminate your involvement with Latitude Careers and its Services and the associated Terms & Conditions, you may do so at your discretion by:
- providing Latitude Careers with 30 days’ notice of your intention to terminate in writing (using the Contact form on the Website), or a shorter notice period if agreed by Latitude Careers in writing (including email).
Latitude Careers may terminate its association with you and thereby the Terms & Conditions at any time, without notice, if:
- you do not respond within 30 days of any request from Latitude Careers for further information required to complete Service Delivery; or
- Latitude Careers loses contact with you and you do not inform them of your new contact details within 30 days; or
- you breach any provision of these Terms & Conditions; or
- Latitude Careers is required to do so by law; or
- Latitude Careers considers that the provision of Services to you is no longer commercially viable.
In all other cases, Latitude Careers‘ association with you under its Terms & Conditions will be deemed to end 30 days after Latitude Careers informs you that the last of your Service Delivery is complete. You may purchase further Services to agree and accept these Terms & Conditions again in future.
Upon termination of these Terms & Conditions you agree to:
- pay all outstanding invoiced balances for all Services engaged (noting that refunds are only provided to you under the circumstances described under the section above headed ); and
- allow Latitude Careers to retain a copy of your personal information records (including the information provided and produced during the course of Service Delivery) for a period of 7 years, and grant authority for Latitude Careers to destroy its copy of your records, in whatever medium held, 7 years after the date of your last termination of these Terms & Conditions.
Latitude Careers provides Services and outcomes based largely on your inputs during the course of Service Delivery and cannot warrant the accuracy or completeness of the information and responses you provide. Further to this, though Latitude Careers uses established and well tested career coaching frameworks, processes, and techniques, these do not by their nature constitute an exact science with a clear verifiable right or wrong answer. You therefore acknowledge and accept that any advice or documents provided to you by Latitude Careers or any conclusions that are drawn during the process of Service Delivery should not be relied upon as the sole determinant for the purposes of your career, employment, or for any other vocational matters. Latitude Careers is not liable for any decisions or actions you take based on the outcomes from the Services, or any resulting losses or costs incurred by you during or after Service Delivery.
Career coaching is often a life-changing experience and as such it can sometimes be challenging emotionally. While Latitude Careers aims to support you through the process, it is not liable for any mental stress or illness that may arise from Service Delivery or any resulting changes in your life.
You acknowledge and accept that Latitude Careers provides Services related to career coaching, and though these may touch on other areas of your life, Latitude Careers’ employees and contractors engaged in this Service Delivery do not provide other specialist advice, such as in the domains of finance, law, or health. In the event that Latitude Careers puts you in contact with a third party specialist, they make no representation or warranty about the third party’s advice or provision of services and Latitude Careers is not liable for any resulting loss, damage, or expense incurred.
Nothing in the Terms & Conditions limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law. To the extent permitted by law all guarantees, warranties, representations or conditions which are not expressly stated in the Terms & Conditions are excluded.
Latitude Careers’ total liability, however arising, from or in connection with the Website, Services, or these Terms & Conditions, including under contract, from negligence, or otherwise, will not exceed the resupply of the identified Services to you, or at Latitude Careers’ option, the payment of the cost of having those Services resupplied.
Latitude Careers is not liable for any direct, indirect, incidental, special consequential or exemplary damages including but not limited to: damages for loss of use, data, profit, reputation, or opportunities arising out of or in any way connected with the use or performance of the Services whether based on contract, tort, negligence, strict liability or otherwise.
With the exception of any warranties required by law, Latitude Careers makes no representations, guarantees, or warranties with respect to its Services and associated materials, their use, suitability, reliability, accuracy, performance, or results.
Latitude Careers is not liable for any delay or failure in performance resulting directly or indirectly from causes beyond its reasonable control, including but not limited to: incorrect email addresses, information and communications technology failures, or non-performance of third parties.
You agree to indemnify Latitude Careers, its employees, contractors, and agents and hold them harmless from and against any and all liabilities or expenses arising from or in any way related to your use of the Website or the Services, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and solicitors fees of every kind and nature incurred by you or any third parties through you.
The obligations under this section (headed ) will survive termination of these Terms & Conditions.
Either party claiming that a dispute has arisen under these Terms & Conditions must give written notice (by standard post or email) to the other party detailing the nature of the dispute, the desired outcome and the action required to settle the dispute. Notice will be deemed to have been served on the expiry of 48 hours in the case of post, or at the time of transmission in the case of email.
Neither party is responsible for any failure to perform its obligations under these Terms & Conditions if it is prevented from, or delayed in, performing those obligations by a force majeure event.
Where there is a force majeure event including, but not limited to, major illness, strikes, industrial disputes, physical natural disasters, and acts of terrorism and war, the party prevented from, or delayed in, performing its obligations under these Terms & Conditions must as soon as reasonably practicable, provide notice of the force majeure event to the other party and, where possible, use reasonable efforts to mitigate the effect of the force majeure event on its ability to perform these obligations. The party affected must as soon as reasonably practicable, resume performing its obligations under these Terms & Conditions.
A force majeure event does not relieve a party from liability for an obligation which arose before the occurrence of that event, including payment of any outstanding invoiced balances.
These Terms & Conditions are governed by, interpreted, and construed in accordance with the laws of New South Wales, Australia. Any dispute, controversy, proceeding or claim of whatever nature arising out of or in any way relating to the Website, Services, or these Terms & Conditions shall be resolved by the courts having jurisdiction in New South Wales, Australia.
Latitude Careers retains the right to bring proceedings against you for breach of these Terms & Conditions, in your country of residence or any other appropriate country or jurisdiction.
If any provision (or part of one) within these Terms & Conditions is held to be unenforceable or invalid by a court of competent jurisdiction, then it will be interpreted as narrowly as necessary to allow it to be enforceable or valid, and otherwise severed and the remaining provisions (and remaining parts of the provision) of these Terms & Conditions shall remain in force.
